1. Purpose of the Platform
KonduitHUB, LLC (“KonduitHUB,” “we,” “our,” or “us”) operates as a neutral matching service that introduces companies to vetted service providers in areas such as entity setup, corporate governance, payroll, tax, immigration, HR, and related services. We are not a service provider ourselves and do not guarantee introductions or the quality, outcome, or performance of any engagement between companies and service providers.
2. Acceptable Use
You agree to use our services only for lawful purposes and in compliance with these Terms.
You must provide accurate and complete information when submitting forms, intake requests, or other information to us.
You may not disrupt, misuse, or attempt to gain unauthorized access to any part of our services or related systems.
3. Introductions and Relationships
Introductions occur only when both the company and the service provider agree to be introduced.
Any subsequent discussions, engagements, or agreements are solely between the company and the service provider, including scope of work, fees, performance, and legal terms.
KonduitHUB is not a party to, and bears no responsibility or liability for, any agreements, services, advice, or outcomes arising from those relationships.
4. Fees
Companies: KonduitHUB does not charge companies a fee to receive reports or introductions through our service.
Service Providers: Fees and commercial terms are governed by a separate written agreement between the service provider and KonduitHUB.
5. Non‑Circumvention (Service Providers)
Service providers agree not to circumvent KonduitHUB in connection with any company that KonduitHUB has introduced or identified to them through our services. This means that, for a period specified in a separate written agreement, service providers will not knowingly enter into or expand a direct commercial relationship with such companies (or their affiliates) that has the purpose or effect of avoiding fees owed to KonduitHUB. All non‑circumvention obligations, including duration, scope, and remedies, will be set out in the applicable service provider agreement.
6. Intellectual Property
All reports, content, branding, data, scoring, and other materials we provide are owned by or licensed to KonduitHUB. They are provided solely for your internal evaluation and decision‑making and may not be copied, distributed, modified, or used for other purposes without our prior written consent.
7. Disclaimer and Limitation of Liability
Our services, including any reports, matches, and information, are provided “as is” and “as available,” without warranties of any kind, express or implied. To the fullest extent permitted by law, KonduitHUB disclaims all liability for any direct, indirect, incidental, consequential, or other damages, losses, or disputes arising from your use of our services, any reports or matches, or any relationships or engagements formed after introductions
8. Changes to Terms
We may update these Terms of Use from time to time. Updated Terms will apply once posted on our website. Your continued use of our services after changes are posted constitutes your acceptance of the updated Terms.
9. Governing Law
These Terms are governed by the laws of the State of Georgia (USA), without regard to conflict of law rules.
